By engaging with our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use our Services. 1. Services Provided Neetu Infotech provides a range of IT services including, but not limited to, software development, IT consulting, cybersecurity, cloud computing, technical support, and digital marketing. The specific details of the Services will be outlined in a separate Service Agreement or Statement of Work (“SOW”). 2. Client Responsibilities Information and Access: The client agrees to provide all necessary information, resources, and access required for Neetu Infotech to perform the Services. Cooperation: The client shall cooperate with Neetu Infotech in a timely manner and in good faith. Compliance: The client shall ensure that its use of the Services complies with all applicable laws and regulations. 3. Fees and Payment Terms Pricing: Fees for Services will be outlined in a separate SOW or agreement. Payment Terms: Payments are due within 30 days of invoice receipt unless otherwise specified in the SOW. Late Payments: Late payments may incur a penalty of 10% per month on the outstanding amount until fully paid. 4. Confidentiality Both parties agree to keep all confidential information, including business plans, technical data, and trade secrets, disclosed by either party during the course of the agreement, strictly confidential. Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party. 5. Intellectual Property Rights Ownership: Any intellectual property developed or delivered by Neetu Infotech as part of the Services will be owned by Neetu Infotech until full payment has been made. License: Upon full payment, Neetu Infotech grants the client a non-exclusive, non-transferable, perpetual license to use the deliverables for their internal business purposes. 6. Limitation of Liability Neetu Infotech shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Services. Our total liability for any claim arising from these Terms shall not exceed the amount paid by the client for the Services in the 12 months preceding the claim. 7. Warranty and Disclaimer Neetu Infotech warrants that the Services will be performed in a professional manner consistent with industry standards. Except as expressly stated, Neetu Infotech makes no other warranties, express or implied, regarding the Services. 8. Termination Termination for Convenience: Either party may terminate the agreement upon 30 days’ written notice. Termination for Cause: Either party may terminate the agreement immediately if the other party breaches a material provision of these Terms and fails to cure such breach within 15 days of receiving notice. Effect of Termination: Upon termination, the client shall pay Neetu Infotech for all Services performed up to the date of termination. 9. Governing Law These Terms and any disputes arising out of or in connection with these Terms shall be governed by the laws of Bhopal Jurisdiction, without regard to its conflict of laws principles. 10. Dispute Resolution Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by arbitration in accordance with the rules of Arbitration Organization in India. 11. Amendments Neetu Infotech reserves the right to amend these Terms at any time. Any changes will be communicated to clients at least 30 days in advance. 12.
